Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Cloud Ingenuity, LLC ("Company," "we," "us," or "our") concerning your access to and use of our website located at cloudingenuity.us (the "Site") and any related services offered by the Company.

Payment Terms

Unless otherwise specified in a separate agreement:

• All fees are non-refundable except as expressly provided

Client Responsibilities

When engaging our services, you agree to:

• Review and provide feedback on deliverables in a timely manner

• Comply with all applicable laws and regulations

Confidentiality

IN NO EVENT SHALL CLOUD INGENUITY, LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Site or Services
• Any conduct or content of any third party on the Site
• Any content obtained from the Site
• Unauthorized access, use, or alteration of your transmissions or content

Indemnification

You agree to defend, indemnify, and hold harmless Cloud Ingenuity, LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• Your use of the Site or Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved in the state or federal courts located in Dallas County, Texas, and you consent to the exclusive jurisdiction of such courts.

Dispute Resolution

We encourage you to contact us first to resolve any dispute informally. If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or our Services shall be resolved through binding arbitration or in the courts of Texas as described above.

Force Majeure

Neither party shall be liable for any failure to perform its obligations under these Terms if such failure results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, riots, strikes, or government actions.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Site and Services after those revisions become effective, you agree to be bound by the revised terms.

Termination
